Early Warning Press Release in Respect of the Disposition of Common Shares of Nubian Resources Ltd.

Vacaville, CA —- July 19, 2024. Athena Gold Corporation (CSE: ATHA) (OTCQB: AHNR) (“Athena” or the “Company”) announces today that on July 19, 2024, it disposed of 1,169,666 common shares of Nubian Resources Ltd. (TSX.V: NBR) (“Nubian”) at a price of CAN $0.06 per share for gross proceeds of CAN $70,179.96 through the facilities of the TSX Venture Exchange (the “Transaction”).

On December 29, 2023, Athena acquired (the “Acquisition”) beneficial ownership, direction and control of 10,000,000 Common Shares of Nubian pursuant to a share purchase agreement dated December 22, 2023, between 2176423 Ontario Ltd. (a corporation controlled by Eric Sprott) and Athena. As a result of the Acquisition (early warning report filed January 2, 2024), Athena became an insider of Nubian, having beneficial ownership over approximately 15.79% of Nubian’s then issued and outstanding Common Shares (calculated on a non-diluted basis).

On June 28, 2024, Nubian, through a private placement financing, issued an aggregate of 4,416,667 Common Shares. Immediately following this financing, Athena held beneficial ownership of, or control and direction over, an aggregate of 10,000,000 Common Shares, representing approximately 14.76% of the issued and outstanding Common Shares of Nubian (calculated on a non-diluted basis).

Immediately following today’s sale Transaction, Athena held beneficial ownership, control and direction over 8,830,334 Common Shares, representing 13.04% of the current issued and outstanding Common Shares of Nubian (calculated on a non-diluted basis), which disposition, together with the increase in the issued and outstanding Common Shares of Nubian resulted in the requirement to file an early warning report.

Athena also announces that it has entered into option agreements dated July 19, 2024 with two individuals and one company (the “Optionees”), all of whom are arm’s length, wherein Athena has agreed to the sale of an aggregate of 2,000,000 Common Shares of Nubian (the “Optioned Shares”) at a price of CAN $0.06 per Common Share at any time commencing July 19, 2024, until January 31, 2025 (the “Expiry Date”). In the event that the daily volume weighted average trading price (or closing bid price on days when there are no trades) of the Common Shares of Nubian on the TSX Venture Exchange is at least CAN $0.25 per Common Share for a minimum of ten (10) consecutive trading day, Athena shall have the right (the “Put Right”), but not the obligation, to cause the Optionees to purchase the Common Shares. If Athena desires to sell any of the Optioned Shares Athena shall deliver to the Optionees a written notice (the “Put Exercise Notice”) exercising the Put Right and specifying the number of Optioned Shares to be sold (the “Put Shares”) by Athena. The closing of any Optioned Shares shall take place no later than ten (10) calendar days following receipt by the Optionee of the Put Exercise Notice. The Optionee shall give Athena at least ten (10) calendar days written notice of the date of closing (the “Put Right Closing Date”). The above options are terminated if not exercised on or before the Expiry Date.

In the future, Athena may acquire additional securities of Nubian or dispose of such securities subject to a number of factors, including general market and economic conditions and other available investment and business opportunities.

Athena Gold Corporation Signs Agreement to Acquire Historic Blue Dick Mine and Significantly Expands Its Flagship Excelsior Springs Gold Project in Nevada

Vacaville, California — June 12, 2024 —  Athena Gold Corporation (OTCQB: AHNR) (CSE: ATHA) (“Athena” or the “Company”) is pleased to announce that it has entered into an asset  purchase and sale agreement dated June 1, 2024 (the “Purchase Agreement”) with Silver Reserve Inc. to acquire an 100% interest in 11 unpatented BLM claims covering approximately 89 hectares (220 acres) known as the Blue Dick Mine and related mineral claims (“BD”), together with certain technical data relating to the mining claims (the “Purchased Assets”). Total consideration consists of an aggregate of US $45,000 in cash and a 3% NSR.  This acquisition expands our flagship Excelsior Springs Project located in the Walker Lane Trend, Nevada. area to 1,675 hectares (4,140 acres).

The Blue Dick Mine was discovered in the 1870s and was reported as a high-grade producer of silver along with gold and base metals. According to Jack Quade, who visited the Blue Dick mine in 1982 and collected three samples on behalf of the Nevada Bureau of Mines and Geology, “The (Blue Dick) Mine is located near a thrust intersection of the Campito and Deep Springs Formations of lower Cambrian both of which host ore at the mine.”  Mineralized material was transported from the adit by rail and then down Palmetto Mountain via a tram for direct shipment or processing on-site.

Quade’s sample #1125[i] collected from a highly silicified quartzite along the tram and inside the main Blue Dick adit contained 33 ppm Gold, 1500 ppm (43.75 ounces per ton) silver, .15% Cu, 2% lead and 1%+ Zinc[ii].

Sampling by Silver Reserve consulting geologist Richard Milne in June 2007[iii] also confirmed anomalous precious and base metal values. Fourteen of the sixteen rock-chip samples1 collected by Milne (BD/M-1 through BD/M-16) are on the BD claims being acquired or on claims already held by Athena.  

Highlights are listed below: 

  • Sample BD/M-1 contained 6.4 ppm Gold, 2340 ppm Silver (69 ounces per ton),1.175% Copper and 1.34% Lead.
  • Sample BD/M-12 contained 92.6 ppm Silver, 25.5% Copper and 6.92% Lead.
  • Sample BD/M-13 contained 30 ppm Silver, 4.28% Copper and 1.37% Lead.
  • Sample BD/M-15 contained 49 ppm Silver and 2.06% Copper.
  • Sample BD/M-16 contained 7.45 ppm of Gold with .03% Copper.

No exploration drilling or geophysical surveys have been completed on the BD claims.   Additional rock and soil data acquired with the BD claims will be further analyzed and integrated into our exploration database.

Timeline of District Scale Consolidation

Upon the successful close of this transaction, Athena will have completed a series of transactions over a multi-year period to consolidate all the important historic mines (Buster, Lida Belle and Blue Dick) on Palmetto Mountain (See Figures 1 and 2).

  • Athena acquired the Excelsior Springs project in 2021 from Nubian Resources Ltd. with its 140 unpatented BLM claims and a lease on two patented claims. This claim group included the historic Buster Mine and Western Slope (aka Upper or Tripod shaft) mines. 
  • In 2022, Athena purchased the two patented claims (Fortunatus and Prout) that had been held under an expiring lease.   
  • In Q4-2022, Athena staked an additional 51 unpatented BLM claims to cover the southeastern slope of Palmetto Mountain.   These claims included the historic Lida Belle high grade gold occurrence and mine.   
  • Reconnaissance sampling in the Lida Belle area returned high-grade gold and silver results. (See the Company’s news release dated October 5, 2023 here). 
  • Also, in Q4-2022, the Company staked claims to the border of the BD claims being acquired (See Figure 2).

Blue Dick Mineralization

Mineralization occurs in quartz or calcite veins mostly hosted by Limestone (Stewart and Albers 1972).  The Deep Spring and Palmetto Formations are the main host rocks for precious and base metal mineralization on the property.  Copper, gold, silver and lead mineralization sampled by Milne (2007) is found locally in thrust faults and high-angle northeast-southwest structures.

There are several important targets for future exploration including:

  • Sediment hosted bulk Au tonnage targets in the Palmetto formation.
  • Additional high-grade vein mineralization from known veins and undiscovered veins in the carbonates with two targets of Gold, Silver & Copper and Silver, Gold & Base Metals

Blue Dick Purchase Transaction Details

Pursuant to the Purchase Agreement, Athena will acquire the Purchased Assets for total consideration of:

  • US $10,000 payable upon execution of the agreement (Paid);
  • US $15,000 payable on or before July 1, 2024;
  • US $20,000 payable on or before August 1, 2024; and
  • the grant of a 3% net smelter return royalty to Silver Reserve, of which 2% may be purchased by the Company subject to certain buy-back options.

The transaction contemplated by the Purchase Agreement remains subject to approval of the Canadian Securities Exchange.

About Our Flagship Excelsior Springs Project

The Excelsior Springs Project (the “Project”) lies within the prolific Walker Lane tectonic trend, a large region of northwest-trending, strike-slip fault zones that host a significant number of precious metal deposits having very strong structural control for mineralization.  The Project contains numerous prospect pits, trenches, roads, surface sampling sites and 113 drill holes to date within a 300m X 3,000m wide (1,000 foot-wide and 10,000-foot-long east-west trending zone of shearing and alteration.  Underground workings on the two patented claims within the Project had unverified, historical production of 19,200 troy ounces from 18,000 tons averaging 37.3 grams/ton Au (1.2 oz/ton Au).

The Walker Lane trend is experiencing a major resurgence of intense and successful exploration and development. The Walker Lane has had total production of 20+ million ounces (“Moz”) of gold, including the following deposits at Goldfields (5 Moz), Bullfrog (2 Moz), Tonopah (2 Moz), Mineral Ridge (1.5 Moz) and Comstock (8 Moz Au, 200 Moz Ag).  Readers are cautioned that the Company has no interest in or right to acquire any interest in any of the above-mentioned properties, other than Excelsior Springs (the “Project”), and that the mineral deposits, and the results of any exploration or mining thereof, on adjacent or similar properties are not indicative of potential mineral deposits on the Project or any potential exploitation thereof.

Gold mineralization discovered at the Project to date occurs in quartz veins, stock-works, and silicified zones in hornfels and calc-silicate altered country rock and is generally close to porphyry dykes.  The best grades and thicknesses discovered recently were found in oxidized and altered sedimentary rock immediately above porphyry dykes intruded along preexisting east- and east-northeast trending faults.  The mineralized stock-work vein zones are shallow and have a relatively flat plunge, making them potentially amenable to open pit mining methods.

Based on the results of previous drilling programs, the Project has the potential with to host one or more shallow gold deposits amenable to open pit mining, along with deeper, higher grade feeder zones that may be found and could be mined by underground methods.    In the opinion of management and its consultants, the Project is very promising and further exploration has the potential to expand the known mineralization and establish additional mineralized zones.

Athena Gold Completes IP/Resistivity Survey  at its Crow Springs Copper-Molybdenum-Gold Porphyry Project in Nevada

RENO, NV – February 15, 2024 – Athena Gold Corporation (OTCQB: AHNR) (CSE: ATHA) (“Athena” or the “Company”) is pleased to announce it has successfully completed an Induced Polarization/Resistivity (the “Survey”) at its 100% owned Crow Springs Project (“Project”) located approximately 21 miles northwest of Tonopah, Nevada. 

The survey was conducted by Zonge International and generated IP/Resistivity data on the two lines specified by Athena as depicted on Figure 3.  The IP/Resistivity data was acquired using a dipole-length of 200 meters, in the 9- spread dipole-dipole configuration, providing continuous coverage.  The survey was designed to define potential porphyry copper-gold targets to a depth of 1,200 feet or more.

Prior to the IP/Resistivity survey, a district-scale helicopter airborne magnetics radiometric survey was flown in September 2017 with 100-meter spaced N-S flight lines with 1000-meter tie lines flown E-W (see Figure 3). The survey indicates that a strong untested magnetic anomaly controlled by Athena underlies classic porphyry-associated potassic alteration noted in geologic mapping. The untested magnetic anomaly is suggestive of a possible porphyry copper-gold target of significant size. The IP-Resistivity survey was designed to further refine and delineate Cu-Mo-Au drill targets within or adjacent to the magnetic anomaly.

IP Line 1Discussion & Analysis

The IP response on Line 1 was muted but the significant magnetic high denotes a target as noted by gridlines in the cross-section.  Combined with geology, strong potassic alteration, and Cu-Mo  soil anomalies this area is a high-priority target for future work and an initial drill target has been established.

IP Line 2 Discussion & Analysis

The fault located at 2400 cuts off the IP source to the east.   Anomalous IP response extends from this station to the west end of the line.   The mapped Jurassic porphyry unit is IP anomalous throughout, but strongest between stations 1800 and 2000 directly over Athena’s CS-124 claim.   This target also underlies strong potassic alteration and copper-molybdenum geochemical anomalies on the surface.

The Crow Springs District has been known as a top tier concealed porphyry target since the early exploration by Homestake Mining and others in the late 1950’s through the early 1980’s but has received only minimal modern exploration and as such the potential for discovery of copper-molybdenum mineralization is high” added Power.

The Crow Springs Project was internally generated, and Athena staked 10 unpatented claims with the BLM in 2022 and leased claim CS-124 at that time.    The CS-124 claim is strategically positioned based on mapped surface potassic alteration, geochemistry, and past drilling.   Athena holds claims over one of the two major magnetic highs thought to be related to potassium feldspar-magnetite-Cu-Mo-Au mineral potential.  The other magnetic high is controlled by EMX Royalty Corp (“EMX”), which holds 132 claims in the Crow Springs district.  Athena staked 19 additional claims in 2023 and the project now comprises 30 unpatented claims.

Crow Springs History and Location

The project is in west central Nevada within the Walker Lane structural belt and is a porphyry Cu- Mo-Au system with the size potential to develop a world class resource.  Porphyry-related alteration, geochemistry, magnetics, and past drilling indicate a porphyry system of over 4.5 square miles in surface area. 

Crow Springs, a porphyry Cu-Mo-Au target in a quartz monzonite porphyry stock is located along the eastern margin of the Tertiary Walker Lane structural province in the southern Royston Hills, northern Esmeralda Co., Nevada.

Porphyry copper mineralization at Crow Springs District is related to strong potassic alteration that is locally developed in a coarse-grained quartz monzonite porphyry and aplitic-textured monzonite. Surface rock geochemistry indicates that moderate to strong Cu-Mo-Au mineralization is exposed at shallow levels and is amenable to reverse circulation drilling to depths of less than 1,500 feet.

Wide-spaced core drilling by Homestake in 1963 indicates pervasive propylitic alteration (clay-pyrite-carbonate) that surrounds magnetic high centers overlain by strong and pervasive potassic alteration that have not been drill tested.

In addition, fifteenmiles east-northeast of Crow Springs, lies the Hall Molybdenum Mine, which formerly produced 53 million pounds of Mo.  It is a porphyry Mo-Cu deposit hosted in 69 million years old quartz monzonite that has been intruded by a granite porphyry.
